Key Statutory Obligations — Government Fees at a Glance
These are the core statutory obligations every Hong Kong limited company must satisfy. The government fees listed below are charged separately from PAT CPA's service fee.
Must be filed within 42 days of the company's incorporation anniversary (the 42 days include weekends and public holidays — the Companies Registry does NOT grant extensions).
On-time government filing fee: HK$105 (government charge). Late escalating registration fee: from HK$870 up to HK$3,480 (government charge); persistent default may lead to director prosecution and the company being struck off (Cap. 622, s.662).
Dormant companies are exempt.
Every non-listed Hong Kong company must keep an SCR at its registered office, identifying any person or entity holding more than 25% of shares or voting rights.
Each company must appoint a Designated Representative (DR) as the contact point for law-enforcement access to the SCR. PAT CPA is a licensed CPA practice and TCSP and can act as both Company Secretary and Designated Representative.
Every Hong Kong company must maintain a physical registered office address located in Hong Kong, used to receive statutory correspondence from the Companies Registry and IRD.
PO boxes, ‘care-of’ addresses and overseas addresses are not accepted. PAT CPA provides a registered-office address in core commercial Kowloon, including statutory mail receipt and forwarding.
1-year BR Certificate: HK$2,350 (HK$2,200 registration fee + HK$150 Protection of Wages on Insolvency Fund levy, reinstated under the 2026/27 Budget).
3-year BR Certificate: HK$6,170 (HK$5,720 + HK$450 levy). All amounts are government fees, charged separately from PAT CPA's service fee.
